Thank you for using our services.

We are New Leaf Publishing, Inc., incorporated in laws of California, USA, located in 1277, Borregas Avg, Suite C, Sunnyvale, CA 94089. Before using our services, please confirm that you are 18 years old and over, or you are an adult with capacity of civil juristic acts according to the laws in your domicile. Also, please read carefully the following agreement, which shall form a legally binding contract between you and us. If you don't agree with any clauses in this agreement, please stop the account registration or stop accessing our services.

I. What services we offer

We offer to you the promotion marketplace named RS Boost Platform (url: https://cps.reelshort.com/), containing the website services, and all sorts of online services i.e. H5 page, or mobile application that may be developed in the future. By the services, we present to you the Promoted Product(s), Works and the Advertising Materials that are provided by Advertisers we cooperate with. You can create advertising Links with the Advertising Materials for the Works, share the Links and acquire potential revenues. We work as a mediator and offer data attribution and settlement services.

Promoted Product refers to the mobile applications where the Works are on display and by whose Advertising Materials to attract downloads.

Works refer to the short videos or e-books shown on the relevant pages.

Advertising Materials refer to the clips or instalments tailored from the Works that Advertisers provide or derivate by your editing, compilation or recreation.

II. Account

You should create an account to access our services. You may create account with your personal email address, or with a third-party social media account if applicable.

You should be wary that:

1. You should keep confidential your account username and password, and ensure access of your account under security conditions.

2. You should not rent, lend, share or allow any third party to use your account.

3. All the activities that occur in your account shall be deemed the acts on your behalf and shall be of your liability. You are responsible for the secure use of your account. If you suspect or know of any unauthorized use of your log-in credentials or any other breach of security with respect to your account, please notify the us immediately at: rsboostsupport@crazymaplestudio.com.

4. You can close your account by contacting at rsboostsupport@crazymaplestudio.com, informing us your intention as well as your account username, email address at registration and other necessary information. We will response to you within reasonable time. Once you cancel your account, it means that you permanently delete your profile and abandon all the accrued or upcoming revenues you may receive under your account.

5. Consecutive 365 days of no activities under an account shall be deemed as a dormant account. We shall reserve the right to retrieve and delete the account. Written notification shall be delivered before retrieval.

III. Code of promotion conduct

1. Advertiser retains all of intellectual property rights in the Promoted Products, Works, and Advertising Materials that are presented on this website. We promise that we are fully authorized to grant you in respect to the Advertising Materials for the purpose of this agreement, a non-exclusive, non-transferrable, non-perpetual, revocable, worldwide except mainland China right that:

• a. you may reproduce, transmit through the Internet the Advertising Materials, in order that the public may be attracted to relevant Works and willing to download the Promoted Products.
• b. you may edit, crop, rearrange, compile the Advertising Materials, in order to increase the advertising effects.

2. You may upload or disseminate the Advertising Materials and the advertising Links to online media you choose, however, websites, pages or mobile applications that are illegal in terms of laws in your residence or contain illegal or restricted contents shall be expressly excluded and prohibited. Besides, in consideration of age grading and minor protection, it is not recommended to share to minor-oriented sites or media.

3. You are not allowed to abuse the Adverting Materials by any means including but not limited to:

• a. using Advertising Materials in a separate way from the promoted Links;
• b. editing Advertising Materials in a manner that disobeys, tampers with, distorts, degrades, defaces the original intention of the Works's expression;
• c. making alteration or modification to the Advertising Materials without our prior consent as to adding irrelevant visual or audio contents, removing or changing the original visual or audio contents, especially, (1) producing Advertising Materials that are believed to be fake, fraudulent or misleading; (2)re-dubbing, narrating, spoiling the Works or the Advertising Materials; (3) changing, blurring, covering any trademarks or copyright marks originally attached to the Advertising Materials, or add irrelevant commercial marks or promotional links.

4. You are not allowed to do the following:

• a. You should not engage in illegal activities with our services;
• b. You should not use any dishonest methods in the advertising, e.g. dark patterns, fraudulent clicks, compulsory clicks, inductive clicks;
• c. You should not infringe any intellectual property rights of Advertisers, Promoted Products, Works and/or Advertising Materials;
• d. You should not use illegal technical means to influence use of this website and Promoted Products. Illegal technical means include but are not limited to hacker attacks, virus transmission, computer system intrusion, reverse compilation, and traffic hijacking;
• e. You should not use any information or content acquired through our services for sales of any form and commercial exploitation, neither should you provide to or allow use in any form to any third party.

5. If you violate any prohibitive clauses under this agreement, we shall be entitled to take the following relief measures:

• a. immediately revoke all the licenses granted to you;
• b. freeze your account and all the outstanding and unpaid revenues under your account;
• c. seek for the maximum indemnification amount to the extent permitted by applicable laws;
• d. refer to the police and hold your criminal responsibilities (if involved)

IV. Rules of settlement

As benefits to your distribution of the Works, you are entitled to acquire revenues calculated on a CPS (Cost Per Sales) basis, and the ratio of CPS shall be according to specifications on the relevant pages.

• a. If your Links lead to a User Growth or a User Re-engagement, such user shall be attributed to you. Any payments made by such user for the Works in the Promoted Product (excludes in-app ads display revenues, in-app gifts, or chargebacks) ever since shall be counted in as the calculation basis of CPS revenue. User Growth means, a new user who has not used Promoted Product and makes his/her first install and visit to the Promoted Product via your Links. Re-engagement means, an existed user who has not any actions in Promoted Product within the recent thirty days and re-visits the Promoted Product via your Links.
• b. If you successfully introduce other users to join this promotion, your ratio of CPS may be raised.
• c. If the users that are attributed to you have any chargebacks, the relevant CPS revenue share shall be withheld automatically from your revenue report of the following month.

Revenue reports shall be generated every month. You may check “my revenues” located on the top-bar of the website to see the CPS revenue of the last month. If applicable, you may click “withdrawal” button to withdraw your CPS revenue out to your bank card. Bank charges and income tax (if applicable) shall be borne on you, and withheld from the monies you withdraw.

You should ensure updated of your financial information, or you will be responsible for any withdrawal failure or mistaken payments result from your negligence.

V. Miscellaneous

1. The services and the website pages are evolving. We may amend the terms of services from time to time because of policy change, functional adjustments and so on. We shall timely notify you in proper ways and remind your acknowledgment of the newly amended agreement, to enable your read and understanding of the latest version of the agreement. If you continue to use the services, we shall take it as an implied acceptance from you to the amended agreement. If you disagree with the amended agreement or have any question or dispute, please immediately stop access or use of the services.

2. If you have any questions towards the services or this agreement, please contact at rsboostsupport@crazymaplestudio.com. We will response as soon as possible.

3. The establishment, effectiveness, fulfillment and interpretation of the agreement shall be in accordance with the laws of California USA, without regard to conflict of law principles. Any disputes shall first be settled by negotiation with us, if fails, the disputes shall be finally settled by the binding court in Santa Clara, CA, USA.

4. You and us are separate entities. You agree that this agreement shall by no means be deemed to include any express or implied warranties to you. No agency, joint venture, partnership, employment relationship exists between you and us as a result of the terms or your use of the services.
